Introduction to Corporate Governance

Corporations (for profit, not-for-profit, co-operative or public-private enterprise) integrate and coordinate financial, human and natural resources for the distribution of goods and services in the marketplace. Communities depend on corporations to prosper & grow such that everyone benefits: consumers, employees, and shareholders. A region’s economic development depends on this success.

In the past couple of years we have seen and experienced unfortunate results of rubber stamp and dysfunctional boards. American business is imperiled: Billions of tax-payer dollars have been used to prop up companies like the American International Group and Bank of America. Many recent books have pointed accusatory fingers at the boards of firms like Bear Stearns, Lehman Brothers and Fannie Mae for their failure. Failure of boards: For-Profit, Private, Not-For-Profit, Government appointed boards, and Advisory Panels is ruining American enterprise and has been very expensive to the taxpayers and the future of the country. It has cost trillions!

The public failure of these boards has triggered widespread cynicism about whether boards can ever be more than rubber stamps. How does one create a board that works to deliver value- A board that will listen, probe, debate, and become engaged in the company's most pressing issues. How does one find directors that will share their expertise and wisdom as a matter of course such that management and the board can work together and allow for collective wisdom to emerge, which improves managerial judgment? Excellent Corporate Governance team gives the company a competitive edge in the marketplace. In today's complex environment the core principles for board management are the same, even though their legal frameworks may vary.

Learn the core principles of good governance to help you navigate and understand how to lead organizations whether public, private, not-for-profit or government appointed agencies. This course will also be very helpful to you if you plan to start your own venture. It is intended and structured as an experiential learning experience. Enrolled students will gain hands on learning and experience a first hand overview of the fundamentals of Corporate Governance and its importance to the sustainability of an enterprise.
